# Terms of Service

Effective October 30, 2026

These terms are an agreement between you and Waity ("Waity", "we", "us"). They cover the Waity website (waity.ai and account.waity.ai), the Waity API at api.waity.ai, the Waity MCP server, and the documentation for them (together, "Waity"). By using Waity, including by connecting it to an AI agent or app, you agree to these terms. If you don't agree, don't use Waity. Our [Privacy Policy](https://waity.ai/privacy) explains what we collect and why.

**In short** (This summary helps you read the terms. It doesn't replace them.)

- **Waity is not for emergencies.** For a medical emergency, call 911 or your local emergency number. Wait times are estimates posted by others, not a promise of when anyone will be seen.
- You can use Waity free within daily limits. Paid plans renew monthly. Cancel any time and keep your plan until the end of the period you paid for (deleting your account ends it at once).
- If your agent or app passes Waity answers to people, it must pass on the warnings and notes, and never present an old or forecast wait as the current one.
- Keep your keys secret. Don't resell Waity data or get around limits.

## 1. About these terms

**Who we are.** Waity is run by Waity, a business based in Virginia, USA.

**Who can agree.** You must be at least 18 and able to enter into a contract. If you use Waity for a company or other organization, you agree to these terms for it and confirm that you have the authority to do so. "You" then means that organization.

**What these terms include.** These terms include the plan details on our [pricing page](https://waity.ai/pricing) and the usage rules in our [documentation](https://waity.ai/docs), including [llms.txt](https://waity.ai/llms.txt). Our [Privacy Policy](https://waity.ai/privacy) explains how we handle personal information. If these terms and any of those pages conflict, these terms control, unless a written agreement we sign with you says otherwise.

## 2. What Waity is

Waity collects wait times that places and public agencies post, checks how fresh they are, and turns them into answers for people and AI agents: the wait now, the usual wait and, once there is enough history, a forecast. What Waity covers changes over time. The API lists current coverage (`GET /v1/categories`).

**Information, not advice.** Wait times can be wrong, late or missing. Usual waits and forecasts are statistical estimates. Nothing on Waity is medical, legal, travel or other professional advice, or a promise of how long anyone will wait. Emergency departments see the most serious cases first, whatever the posted wait.

**Emergencies.** Don't use a wait time to decide whether to seek emergency care. For chest pain, stroke signs, trouble breathing or a serious injury, call 911 or go to the nearest emergency room, whatever the waits say.

**Partial coverage.** Waity tracks only some places. Closer or better options may exist that Waity doesn't list. Distances are straight-line distances, not travel times.

## 3. Rules for agents and apps

If you build or run an agent, app or service that gives people information from Waity ("your app"), your app must:

1. give people the warnings in each answer first, and repeat its notes, including any emergency guidance;
2. present a wait as current only when the answer marks it as usable, and never present a missing, old or forecast value as the current wait;
3. treat partial coverage as partial: never call the results "the nearest", and never say that no other places exist;
4. keep the meaning of each answer, including words such as "under", "over" or a range, and how old a wait is;
5. show the attribution lines that come with each answer ([section 6](https://waity.ai/terms#using-data)); and
6. never present a distance as a travel time.

Our documentation repeats these rules and may add rules for new kinds of places or fields; your app must follow those too. You are responsible for what your app tells people, and for giving your own users any terms and privacy notices the law requires.

## 4. Accounts and keys

**Without a key.** You can use the API and the MCP server without a key, within a small daily limit for each network or MCP session. We may change or end access without a key at any time.

**Free keys.** You can get one free key per email address. Don't request keys for other people's addresses, and don't create addresses to get more keys.

**Accounts.** An account lets you manage keys, see your usage and buy a plan. Give accurate information and keep it up to date. Keep your sign-in details secure. If you think someone has used your account without permission, tell us at [ops@waity.ai](mailto:ops@waity.ai).

**Keep keys secret.** We show a key once and store only a hash of it. Treat a key, and any URL that contains one, like a password. You are responsible for all use of your keys. Don't share them outside your organization. If a key may have leaked, rotate or revoke it in your dashboard, or ask us to revoke it.

## 5. Acceptable use

Don't, and don't help anyone else to:

- use Waity in a way that breaks the law or infringes anyone's rights;
- go over your limits or get around them, for example by rotating keys, accounts, email addresses or network addresses;
- scrape or bulk-download the website or the API beyond what your plan allows;
- sell, license or redistribute Waity data as data (bulk exports, feeds, datasets, or an API that passes our answers on to others) unless your plan or a written agreement with us allows it. Using answers inside your own app for your own users is fine;
- use Waity to build, train or fill a competing wait-time dataset or service;
- present Waity data as your own measurements or as official figures from a place, or suggest that Waity or any place endorses you;
- remove or change the warnings, notes or attribution in an answer;
- use Waity to monitor, profile or make decisions about individual people, or put personal information about anyone in a request (Waity needs only places and locations);
- rely on Waity alone for emergency dispatch, medical triage or other decisions where a wrong or late wait could cause harm;
- probe, attack, overload or disrupt Waity or the places and sources behind it, or get around any security measure, rate limit or access control;
- reverse engineer Waity, except where the law allows it; or
- impersonate Waity, a place or a source.

## 6. Using Waity data

**Your licence.** While you follow these terms, we give you a limited, non-exclusive, non-transferable, revocable licence to call the API and the MCP server, and to show, quote and use the answers in your apps for your users, within your plan's limits.

**Attribution.** Wherever people see Waity data, show the attribution lines that come with the answer, as they come: "Data by Waity", and any other line the answer includes, next to the numbers it covers.

**Keeping answers.** You may keep an answer for up to 24 hours to serve your users. Once a wait is no longer fresh, ask Waity again. Never show a kept wait as the current wait.

**Where the data comes from.** Waity reads wait times and place details from places, public agencies and open data sources, which keep their rights in their data. Our [Sources](https://waity.ai/sources) page describes the kinds of data Waity reads, with any licence that applies. Some sources set their own conditions; when an answer or our Sources page passes one on, follow it. If a source asks us to stop using its data, we will, and its places may disappear from answers.

These terms don't give you ownership of Waity data.

## 7. Plans and billing

**Plans.** Our [pricing page](https://waity.ai/pricing) lists the free plan and the paid plans, with their daily limits, number of keys and prices. A feature described as coming later isn't part of a plan until it launches.

**Billing.** Paid plans are monthly subscriptions, charged in advance, in US dollars, through our payment processor. They renew automatically each month until you cancel, and you authorize us to charge your payment method for each renewal. Prices don't include taxes unless we say so. You pay any taxes that apply, and we add them where we are required to collect them.

**Changing plans.** You can switch or cancel your plan on the Billing page of your dashboard. When you switch between paid plans, the change applies at once and the price difference for the rest of the period is charged, or credited toward your next invoices.

**Cancelling.** You can cancel at any time. Your plan stays active until the end of the period you have paid for, and then your account moves to the free plan. If you then have more keys than the free plan allows, the newest are revoked and the oldest keep working.

**Deleting your account.** If you delete your account while on a paid plan, the plan ends at once and the rest of the period isn't refunded. To keep your plan until the end of the period, cancel first and delete your account after it ends.

**Failed payments.** If a payment fails, your plan stays active while our payment processor tries again. If the payment still isn't made, we may end the subscription and move your account to the free plan.

**Refunds.** Fees aren't refundable, including for part of a month, except where the law requires a refund, or where we end your paid plan for a reason other than your breach of these terms. In that case we refund the prepaid, unused part.

**Price changes.** We'll tell you at least 30 days before a price increase. It applies from your next renewal, so you can cancel before it does.

**No overage charges.** Calls over your daily limit are refused until the limit resets. We never charge for them.

## 8. Limits and availability

**Daily limits.** Limits count successful calls per day in Coordinated Universal Time (UTC), and reset at midnight UTC. Failed calls don't count. All the keys on an account share the account's limit.

**Short-term limits.** Short-term rate limits also apply; our [documentation](https://waity.ai/docs/limits#burst) describes them. We count with some tolerance, so you may sometimes get a few extra calls. Don't rely on that.

**Availability.** We work to keep Waity running, but we don't promise any level of availability, and Waity may sometimes be slow or unavailable. Our [status page](https://waity.ai/status) shows current status. There is no service level agreement unless we sign one with you.

**Changes to Waity.** We may add, change or remove features, fields, places and categories, and change limits. Coverage changes as sources change. We announce API changes in our [changelog](https://waity.ai/changelog). If a change materially reduces what your paid plan includes, we'll tell you at least 30 days before it applies, unless the law, security or a source requires it sooner, and you can cancel.

**Previews.** Features we mark as preview or beta are provided as they are, and may change or end.

## 9. Ownership and feedback

Waity belongs to us and our licensors. That includes its software, API design, documentation, database of places, usual waits and forecasts, and the Waity name and logo. It doesn't include the rights that sources keep in their data ([section 6](https://waity.ai/terms#using-data)).

You keep all rights in your apps and content. We don't claim ownership of your requests; you let us process them to run Waity.

You may say that your app uses Waity, and show "Data by Waity". Any other use of our name or logo needs our written permission.

If you send us feedback or ideas, we may use them without any obligation to you.

## 10. Third-party services

Waity works alongside services we don't control, such as the AI agents and platforms you connect it to, our sign-in provider and our payment processor. Their own terms and privacy policies apply to your use of them, and we aren't responsible for them. Links to the websites of places and sources are for convenience; we don't control those sites.

## 11. Disclaimers

**Waity is provided "as is" and "as available".** To the extent the law allows, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement, and any warranties arising from course of dealing or usage of trade. We don't warrant that Waity, or any wait time, usual wait, forecast, place detail or answer, will be accurate, complete, current or available, or that Waity will be uninterrupted, secure or free of errors. You use answers at your own risk, and you should use your own judgment, especially about health and safety.

Some places don't allow some of these disclaimers. Where that is so, they apply only as far as the law allows.

## 12. Limitation of liability

To the extent the law allows:

1. neither we nor our suppliers or licensors will be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, goodwill, data or use, even if told they were possible;
2. our total liability for all claims about Waity or these terms is limited to the greater of the amount you paid us for Waity in the 12 months before the claim arose, or US$100; and
3. these limits apply whatever the legal theory (contract, tort including negligence, statute or otherwise), and even if a remedy fails of its essential purpose.

Nothing in these terms limits liability that the law doesn't allow to be limited, such as liability for fraud, or for death or personal injury caused by negligence where the law prohibits such limits.

## 13. Indemnity

If you use Waity for a business, or build it into an app for other people, you will defend and indemnify us and our personnel against third-party claims arising from your app, your use of Waity, how your app presents Waity answers, or your breach of these terms or of the law. This covers the related losses, costs and reasonable legal fees. We'll tell you promptly about a claim and let you control its defence; we may take part with our own counsel at our own cost. You won't settle a claim in a way that puts an obligation on us without our consent.

## 14. Suspension and termination

You can stop using Waity at any time. You can revoke your keys, cancel your plan, and delete your account in Settings or ask us to close it (see our [Privacy Policy](https://waity.ai/privacy#your-rights)).

We may suspend or revoke keys, limit access, or close an account in any of these cases:

- you breach these terms;
- your use risks harm to Waity, its users, the places or sources, or anyone else;
- a payment is overdue; or
- the law requires it.

Where it's reasonable, we'll tell you first and give you a chance to fix the problem.

We may end the free plan or access without a key, with notice on this site. If we stop offering Waity altogether, we'll give at least 30 days' notice and refund prepaid, unused fees.

When your access ends, your licence ends. The source-rights and ownership parts of [section 6](https://waity.ai/terms#using-data), sections 9, 11, 12, 13, 16 and 17, and any payment you owe continue to apply.

## 15. Changes to these terms

We may update these terms. We'll post the new version here with a new effective date, and list the change under History below. If a change is material, we'll tell account holders by email or in the dashboard at least 30 days before it applies, unless the law requires the change sooner or it covers a new feature. If you keep using Waity after a change applies, you accept it. If you don't agree, stop using Waity and cancel your plan.

### History

- October 30, 2026: first full version. It replaces the short terms previously on this page.

## 16. Governing law and disputes

These terms are governed by the laws of the State of Virginia, USA, without regard to its conflict-of-law rules. Before either of us files a claim, we will each try for 30 days to resolve the dispute informally: you by writing to [ops@waity.ai](mailto:ops@waity.ai), and we by writing to your account email. If that doesn't work, claims must be brought in the state or federal courts in Virginia, and we both consent to those courts' jurisdiction. Either of us may still bring an individual claim in small claims court, or ask a court to stop misuse of Waity or infringement of intellectual property. If you are a consumer living outside the United States, you keep the protections, and the right to bring claims, that the law where you live gives you.

## 17. General

**Entire agreement.** These terms, together with the documents they include and any order or plan terms you agree with us, are the whole agreement between you and us about Waity.

**Assignment.** You may not transfer these terms without our written consent. We may transfer them to an affiliate, or to a successor in a merger, acquisition or sale of assets.

**Severability and waiver.** If part of these terms can't be enforced, the rest still applies. If we don't enforce a right, we haven't waived it.

**Events beyond our control.** We aren't responsible for delays or failures caused by events beyond our reasonable control, including outages at networks, providers or sources.

**Export and sanctions.** Follow the export control and sanctions laws that apply to you. Don't use Waity in, or for the benefit of, a country or person under US embargo or sanctions.

**Notices.** We send notices to your account email, in your dashboard or on this site. Send legal notices to [ops@waity.ai](mailto:ops@waity.ai).

**Language.** These terms are written in English. If we provide a translation, the English version controls.

**Relationship.** Nothing in these terms creates a partnership, agency or employment relationship.

**No third-party beneficiaries.** Only you and we have rights under these terms, except our suppliers and licensors under [section 12](https://waity.ai/terms#liability).
